PROCEDURE TO ORGANIZE A RI LIMITED LIABILITY COMPANY PURSUANT TO §7-16-6
1 Call the Corporations Division at (401) 277-3040 to check for name availability. This, however, is only a preliminary clearance. The final decision regarding name availability will be made when the Articles are submitted for filing.
2 File the Articles of Organization (Forms LLC-1A & LLC-1B) with the Corporations Division at the above address in person or by mail. Upon filing, we will place the original Articles of Organization on record and return a certified, file stamped copy to the filer.
3 The forms must be filled out completely to include the following:
a) The name of the limited liability company shall end with either the words "limited liability company" or the upper or lower case letters "l.l.c." with or without punctuation".
b) The statement that there are at least two members who have agreed to form the limited liability company.
c) The latest date on which the limited liability company is to dissolve.
d) The name and address of its resident agent in this state. The resident agent shall be either an individual resident of this state, or a corporation, limited partnership or limited liability company in each case either domestic or one authorized to transact business in this state.
e) A statement setting forth whether the articles of organization are intended to be treated as a partnership or a corporation for purposes of federal income taxation.
f) The address of the principal office of the limited liability company if it is determined at the time of organization.
g) Any other provisions (if any) not inconsistent with law which the members elect to have set forth in these articles of organization.
h) The effective date of the Articles of Organization. If the date is to be later than the filing of the articles, not more than 30 days after the filing of these Articles of Organization.
i) The date the documents are signed by the authorized person. The authorized person means a person, whether or not by a member, who is authorized by the Articles of Organization, by an operating agreement, or otherwise, to act on behalf of a limited liability company as an officer, manager or otherwise.
4 Remit the filing fee of $_____ made payable to the Secretary of State.
5 An annual report must be filed each year, excluding the year of organization, between September 1 and November 1. The filing fee is $_____.
